Terms and Conditions ‘Expand Your Reach with DHL and Harlequins’

1. PROMOTER

The promoter is DHL International (UK) Ltd, Southern Hub, Unit 1, Horton Road, Colnbrook, Berkshire, SL3 0BB (‘DHL’).

2. COMPETITION PERIOD:

Applications for ‘Expand Your Reach with DHL and Harlequins’ open on Friday 29 November 2019 at 10.00am UK time and close on Friday 28 February 2020 at 11.59pm.

The time frame between applications opening and contracting winners shall be referred to as the “Competition Period”.

Applications received after 11.59pm on Friday 28 February 2020 shall not be accepted. DHL reserves the right to amend the Competition Period at its own discretion.

DHL reserves the right to amend the Competition Period at its own discretion.

Any changes to the Competition deadline or the Competition Period as a whole shall be announced via email to entrants.

3. ELIGIBILITY:

To be eligible for the Competition, entrants must comply with the following criteria:

Company Registration - Entrants must be authorised representatives of an incorporated company registered with Companies House in the United Kingdom.

Documentation - If requested, entrants must provide the following:

  • Copy of valid Certificate of Incorporation issued by Companies House in the UK;
  • Copy of utility service or other recurring bill in the name of the company, reflecting the trading address of the small business;

Any documentation requested and submitted will be destroyed within 30 days of confirmation of identity.

Additional criteria

  • The business must be in good standing as of the date of submission and must remain so for 3 months following the conclusion of the Competition Period;
  • The company is not insolvent, the subject of any order or resolution for its administration, winding-up or dissolution, does not have an administrative or other receiver, manager, trustee, liquidator, administrator or similar appointed, does not enter into any composition or arrangement with its creditors and is in good financial standing.

DHL shall use its sole discretion as to whether companies that enter the Competition (“Entrants”) meet the eligibility criteria to participate in the Competition. DHL’s decisions regarding an Entrant’s eligibility, and all other aspects of the Competition, are final and binding.

DHL, its parent and affiliated companies, and each of their respective, officers, directors, employees, agents and persons engaged in the development, production or distribution of materials for this Competition (collectively, the “Competition parties”) and the immediate family members (i.e., parent, child, sibling, and spouse) of each and/or persons living in the same household of such individuals (whether related or not) are not eligible to participate in the Competition.

This Competition is subject to all applicable laws and regulations of England and Wales, and is void in all geographic locations other than the United Kingdom and where otherwise prohibited by law.

No purchase is necessary.

4. COMPETITION PRIZE

Selected Winner will be promoted at one Harlequins home match and be granted use of the DHL Business Box for one Harlequins fixture each. The prize includes:

  • Two (2) parking spaces at the Twickenham Stoop;
  • Eight (8) hospitality tickets;
  • Food will be provided in the form of a hot buffet;
  • Beverages will be provided up to a value of £250. Any expenditure beyond £250 shall be paid for by the winners and their guests;
  • Bespoke company programme incorporated in Match Programme
  • Half time presentation of a Harlequins shirt
  • Bespoke LEDs in TV arc

Hereinafter referred to as “the Prize”. (Travel and accommodation shall not be provided.)

When submitting their applications for the Prize, entrants may select up to three of the fixtures listed below that they would wish to attend if successful.

Winners must submit the names of their guests to DHL a minimum of 48 hours prior to the fixture. Guests under the age of 18 must be accompanied by an adult.

Please note the Prize may not be used for any advertising or promotional purposes without the prior written consent of DHL.

Winners will be offered one of the fixtures listed below depending on the TV scheduling.

5. HOW TO ENTER:

To enter the Competition, Entrants are required to visit the Competition website located at www.dhlreach.co.uk (the “Competition Site”) and submit an entry (the “Entry”) between 29 November 2019 and 28 February 2020. A DHL account is not required to enter the Competition.

Entrants will be required to provide responses to a number of questions together with submitting details of their company, as detailed above.

In addition to answering the questions listed above, each of the Entrants will be required to submit a narrative answer to the following question:

  • What business challenge will Expand Your Reach help you overcome?

There is a limit of one (1) entry per business and all entries are subject to approval at DHL’s sole discretion.

Entrants shall be aware that, in entering this Competition, they consent to the information submitted as entry to the Competition being shared with Harlequins, who may contact Entrants for marketing purposes.

Except where prohibited, entry in the Competition constitutes each Entrant’s consent to the publication of her/his/its name, organisational information and completed Entry, including Digital Images, (to the extent applicable) in any media for any commercial or promotional purpose (including, without limitation, the Internet), without further compensation. Entrants warrant that they are the owner or licensee of all intellectual property and other rights in the images, video and other information submitted to DHL. Entrants shall fully indemnify and keep DHL indemnified from and against all losses, claims, damages, liabilities, fees and expenses (including all reasonable legal fees) suffered or incurred by DHL arising out of or in connection with any infringement or alleged infringement of any intellectual property rights of any third party as a result of the entrant’s submission of or DHL use or possession of any images, videos or other information provided to DHL by or on behalf of the entrant. Entrants grant DHL a non-exclusive, worldwide, non-terminable, royalty free licence to use, modify, adapt, make available, publish and distribute all images, video and other information in any media as DHL deems necessary to organise, administer, promote or otherwise perform the Competition in accordance with these Terms & Conditions.

By submitting information as part of this Competition you expressly agree to authorise DHL and its subsidiaries to use such information for the purposes of administering the Competition as well as to use the information in connection with the Competition. Information concerning Data Protection is provided below. However, DHL will comply with all mandatory applicable laws and regulations concerning data protection and privacy.

6. JUDGING PERIOD:

Winners will be selected by a panel of judges nominated by DHL by Friday 20 March 2020. The decision is final and no correspondence will be entered into.

DHL or its designated representatives shall decide the Winners at its sole discretion and its decision shall be final and binding.

7. PRIZE ACCEPTANCE

Following the conclusion of the Judging Period, the winners will be notified by email and by phone using the contact information provided at entry. Winners will have 72 hours to confirm acceptance of the Prize. A prize not won and/or claimed and not awarded to a substitute recipient by DHL in accordance with these Terms and Conditions will remain the sole property of DHL.

Any of the winners may waive its right to receive the Prize.

The Prize is non-transferable. DHL reserves the right, in its sole discretion, to substitute a prize of equal or greater value if the advertised Prize becomes unavailable.

All Prize details not specified herein shall be determined solely by DHL. By accepting the Prize winners acknowledge compliance with these Terms & Conditions.

Prize conditions and these Terms & Conditions may be added or modified by DHL, in its sole discretion without notice.

Acceptance of the Prize constitutes permission for and winners hereby grant DHL and its affiliates a worldwide, royalty free, 1 year licence to use winners’ names, photographs, entry material, other likenesses and biographical information for advertising, promotional or trade purposes, including but not limited to online announcements, in commerce and in all media worldwide without limitation or additional compensation, except where prohibited by law.

In the event of unforeseen circumstances, DHL reserves the right to withdraw the Competition at its own discretion at any time without providing any notice.

DHL expects winners to ensure that they and their guests behave in an acceptable manner at all times. Any inappropriate behaviour could result in you or your guest(s) being removed from the stadium. Such inappropriate behaviour includes for example; swearing, being abusive, and using hand gestures. The winners and their guests will also be required to comply with all rules of attendance at the stadium (if any) as stipulated by Harlequins.

8. DISQUALIFICATION:

Should DHL determine, in its sole discretion, that any Entrant has violated any of the clauses contained in these Terms & Conditions, or should be disqualified for any other reason, DHL shall have no obligation to make the Competition to such Entrant. DHL reserves the right, in its sole discretion, to disqualify any Entrant it finds to be tampering with the entry process or the Competition; to be acting in violation of these Terms & Conditions; or to be acting in a manner which is detrimental to the business or reputation of DHL or its affiliates.

DHL reserves the right to reject and/or disqualify any entries, subjects, or related materials that DHL deems to be obscene, defamatory, profane, offensive, lewd, pornographic, false, misleading, deceptive, or otherwise inconsistent with its editorial standards, audience expectations, or reputational interests or that DHL believes may violate any applicable law or regulation or the rights of any third party or may subject the Competition, DHL, or DHL's affiliates, clients, or customers to controversy, negative publicity, scorn, or ridicule.

As a condition of entry, DHL reserves the right to conduct its own due diligence on any potential winner and reserves the right to disqualify any Entrant based on such background check and if DHL determines that awarding the Prize to such Entrant might reflect negatively on DHL’s image and/or reputation.

9. GENERAL RELEASE/LIMITATION OF LIABILITY:

By participating in the Competition, each Entrant shall indemnify and hold DHL, its parent and affiliate companies and each of their directors, officers, employees, representatives, and agents harmless from and against any claims, costs, injuries, losses or damages of any kind arising out of or in connection with the Competition or with the acceptance, possession, use of or defect in any grant (including, without limitation, claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light). DHL is not responsible for any incorrect or inaccurate information, whether caused by technical or human error or otherwise which may occur in the processing of entries in this Competition or in the running of this Competition. DHL will not be responsible for typographical, printing or other errors in these Terms & Conditions or in other materials relating to the Competition.

If for any reason, the Competition is not capable of running as planned, including but not limited to fraud, computer virus, worms, bugs, tampering, unauthorised intervention, technical limitations or failures, human error, mistake or any other cause that in the sole opinion of DHL could compromise, undermine, corrupt or otherwise affect the security, integrity, fairness, administration, or proper conduct of this Competition, DHL reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Competition at any time and without notice.

DHL shall have no liability arising out of or in connection with the Competition. DHL shall have no liability for indirect or consequential loss. DHL accepts no responsibility for entries that are lost, delayed, misdirected or incomplete or cannot be entered for any technical reason.

Notwithstanding the aforesaid the DHL does not limit its liability for:

i. death or personal injury caused by its negligence, or that of its employees, agents or sub-contractors;
ii. any act of fraud or fraudulent misrepresentation; and
iii. any other act or omission, liability for which may not be limited under applicable law.

10. CONSTRUCTION, WAIVER AND DISPUTE RESOLUTION:

The Competition and the Terms & Conditions shall be governed by and construed in accordance with English law. Any dispute arising out of the Competition and or the Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.

In the event that any provision is determined to be invalid or otherwise unenforceable, such determination shall not affect the validity or enforceability of any other provision, and these Competition Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

Any specific waiver of any obligation hereunder by DHL does not constitute a general waiver of that obligation nor of any other obligation of Entrants.

11. COPYRIGHT & DATA PROTECTION:

By submitting an entry to this Competition, entrants grant DHL, its parent and affiliated companies an exclusive, assignable, royalty-free and irrevocable right and licence to edit or otherwise use all materials submitted by entrant in connection with the Competition, in whole or in part, for any purpose and in any manner or media (including, without limitation, the Internet) now known or hereafter devised, throughout the world in perpetuity, and to licence others to do so, without notice and without compensation, royalty, accounting, liability or obligation of any kind to any entrant. Each entrant further agrees that it will use its best efforts to have its employees, consultants, volunteers, officers and directors sign any additional licences or releases that DHL may require.

In consideration of entering the Competition the entrant hereby grants to DHL a nonexclusive royalty-free, non-terminable, perpetual, worldwide right to produce, reproduce, broadcast, exhibit and distribute the Material to promote the Competition. In addition the winner and runner up further grant to DHL a nonexclusive royalty-free, non-terminable, perpetual, worldwide right to produce, reproduce, broadcast, exhibit and distribute the Material to promote the Competition and DHL’s assistance to their business.

For the purposes of this clause “Material” shall mean: (i) all visual and/or audio recording, still images relating to the entrant, its employees, products, services or business submitted by the entrant; (ii) the entrant’s name, trade name, trademark, logo, products; (iii) all written text submitted by the entrant; (iv) any interview, visual and/or audio recording, still images or written text of the winner and/or runner up created by DHL or submitted by the winner and/or runner up.

DHL reserves the right to edit the Materials and other Materials prior to posting them to the website in its sole discretion.

Data Protection: Your personal details are important to us and will be used in full compliance with the Data Protection Act 1998 (‘the Act’). When you enter this Competition, you automatically agree to your personal details being hosted by a reputable third party, and for Entrants’ names to be disclosed to any person requesting such information from DHL. We will use your data to contact you for sales and marketing purposes for a maximum period of 12 months. By entering into the Competition you agree to your information being used as described above.

By participating in the Competition, each Entrant shall indemnify and hold DHL, its parent and affiliate companies and each of their directors, officers, employees, representatives, and agents harmless from and against any claims, costs, injuries, losses or damages of any kind arising out of or in connection with the Competition or with the acceptance, possession, use of or defect in any grant (including, without limitation, claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light). DHL is not responsible for any incorrect or inaccurate information, whether caused by technical or human error or otherwise which may occur in the processing of entries in this Competition or in the running of this Competition. DHL will not be responsible for typographical, printing or other errors in these Terms & Conditions or in other materials relating to the Competition.

If for any reason, the Competition is not capable of running as planned, including but not limited to fraud, computer virus, worms, bugs, tampering, unauthorised intervention, technical limitations or failures, human error, mistake or any other cause that in the sole opinion of DHL could compromise, undermine, corrupt or otherwise affect the security, integrity, fairness, administration, or proper conduct of this Competition, DHL reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Competition at any time and without notice.

DHL shall have no liability arising out of or in connection with the Competition. DHL shall have no liability for indirect or consequential loss. DHL accepts no responsibility for entries that are lost, delayed, misdirected or incomplete or cannot be entered for any technical reason.

Notwithstanding the aforesaid the DHL does not limit its liability for:

i. death or personal injury caused by its negligence, or that of its employees, agents or sub-contractors;
ii. any act of fraud or fraudulent misrepresentation; and
iii. any other act or omission, liability for which may not be limited under applicable law.

10. CONSTRUCTION, WAIVER AND DISPUTE RESOLUTION

The Competition and the Terms & Conditions shall be governed by and construed in accordance with English law. Any dispute arising out of the Competition and or the Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.

In the event that any provision is determined to be invalid or otherwise unenforceable, such determination shall not affect the validity or enforceability of any other provision, and these Competition Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

Any specific waiver of any obligation hereunder by DHL does not constitute a general waiver of that obligation nor of any other obligation of Entrants.

11. COPYRIGHT

By submitting an entry to this Competition, Entrants grant DHL, its parent and affiliated companies an exclusive, assignable, royalty-free and irrevocable right and licence to edit or otherwise use all materials submitted by Entrant in connection with the Competition, in whole or in part, for any purpose and in any manner or media (including, without limitation, the Internet) now known or hereafter devised, throughout the world in perpetuity, and to licence others to do so, without notice and without compensation, royalty, accounting, liability or obligation of any kind to any entrant. Each Entrant further agrees that it will use its best efforts to have its employees, consultants, volunteers, officers and directors sign any additional licences or releases that DHL may require.

In consideration of entering the Competition the Entrant hereby grants to DHL a nonexclusive royalty-free, non-terminable, perpetual, worldwide right to produce, reproduce, broadcast, exhibit and distribute the Material to promote the Competition. In addition the winner and runner up further grant to DHL a nonexclusive royalty-free, non-terminable, perpetual, worldwide right to produce, reproduce, broadcast, exhibit and distribute the Material to promote the Competition and DHL’s assistance to their business.

For the purposes of this clause “Material” shall mean: (i) all visual and/or audio recording, still images relating to the entrant, its employees, products, services or business submitted by the entrant; (ii) the entrant’s name, trade name, trademark, logo, products; (iii) all written text submitted by the entrant; (iv) any interview, visual and/or audio recording, still images or written text of the winner and/or runner up created by DHL or submitted by the winner and/or runner up.

DHL reserves the right to edit the Materials and other Materials prior to posting them to the website in its sole discretion.

12. WINNERS LIST

The name and details of the Winners will be retained by DHL during the twelve (12) month period following the end of the Competition Period on 20 March 2020.
